Humacyte (NASDAQ: HUMA) announced the pricing of an underwritten public offering of 47.6 million shares of common stock at $1.05 per share, with expected gross proceeds of approximately $50 million before underwriting discounts, commissions and offering expenses. The company also granted underwriters a 30-day option to purchase up to an additional 7.1 million shares at the public offering price. The offering is expected to close on or about June 12, 2026, subject to customary closing conditions.

Humacyte said it intends to use the net proceeds to support commercialization of Symvess(R), advance a planned Biologics License Application supplement filing for a hemodialysis indication, fund development of pipeline candidates and provide working capital for general corporate purposes. Barclays, BTIG and Titan Partners, a division of American Capital Partners, are serving as joint book-running managers for the offering.
